Terms of Service

These Terms of Service (“Terms”) govern your use of the Kvota mobile application and website (kvota.app) operated by Kvota (“we,” “our,” or “us”). By using our service, you agree to these Terms.
1. Description of Service
Kvota is a mobile application that helps freelancers and tradespeople create professional quotes, invoices, and change orders using voice or text input. The service includes AI-powered document generation, electronic signatures, time tracking, expense logging, payment reminders, and project management tools.
2. Account Registration
You must create an account to use Kvota. You agree to:
- Provide accurate and complete information
- Keep your login credentials secure
- Be responsible for all activity under your account
- Notify us immediately of any unauthorized use
You must be at least 18 years old to use the service.
3. Subscription Plans
Kvota offers the following plans:
- Free: Limited to 5 documents per month, 5 clients, with basic features including voice and text input, AI extraction, PDF export, and bilingual support.
- Pro Monthly ($29.99/month): Unlimited documents and clients with full features including e-signatures, share links, email sending, time and expense tracking, effective rate, project financials, payment reminders, scope creep shield, custom branding, and no watermark.
- Pro Annual ($279.99/year): All Pro features at a 22% discount.
All Pro subscriptions include a 7-day free trial for new subscribers.
Subscriptions are billed through the Apple App Store and are subject to Apple's terms. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel your subscription in your Apple ID account settings.
We reserve the right to change pricing with 30 days' notice.
4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Submit false, misleading, or fraudulent information in documents
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service
- Use the service to harass, abuse, or harm others
- Reverse engineer or decompile any part of the service
- Use automated means to access the service (bots, scrapers)
5. Your Content
You retain ownership of all content you create using Kvota, including quotes, invoices, change orders, client information, and business data.
By using the service, you grant us a limited license to process, store, and transmit your content as necessary to provide the service. This includes sending your text and voice descriptions to our AI providers for processing.
You are responsible for ensuring that your documents are accurate and that you have the right to include any information contained in them.
6. Electronic Signatures
Kvota facilitates electronic signatures through share links. By using this feature:
- You acknowledge that electronic signatures collected through Kvota are intended to be legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN Act) and similar laws.
- You are responsible for verifying the identity of your signers.
- We provide the platform but do not guarantee the legal enforceability of any specific document or signature. Consult a legal professional for advice on your specific situation.
7. AI-Generated Content
Kvota uses artificial intelligence to extract structured data from your voice and text descriptions. While we strive for accuracy:
- AI-generated content may contain errors. You are responsible for reviewing and approving all documents before sending them to clients.
- We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.
- You should always review line items, amounts, tax calculations, and terms before sending documents.
8. Payment and Billing
- Subscription payments are processed through the Apple App Store or Google Play Store and are subject to their respective terms.
- Free tier limits reset monthly.
- We do not offer refunds for partial months of service, but you may be eligible for refunds through Apple or Google's refund policies.
9. Limitation of Liability
To the maximum extent permitted by law:
- Kvota is provided “as is” and “as available” without warranties of any kind.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
- Our total liability for any claims arising from the service is limited to the amount you paid us in the 12 months preceding the claim.
- We are not responsible for any financial losses, missed payments, or disputes between you and your clients arising from documents created with Kvota.
10. Indemnification
You agree to indemnify and hold harmless Kvota and its officers, directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.
11. Data Responsibility
While we take reasonable measures to protect and maintain your data, Kvota is not a document archival or records retention service. You are responsible for maintaining your own copies of all quotes, invoices, change orders, and signed documents generated through the service.
We strongly recommend exporting and saving copies of all important documents to your own local storage, cloud drive, or email. Kvota provides PDF export and share functionality to facilitate this.
We are not liable for any data loss resulting from service interruptions, account termination, technical failures, or any other cause. You agree that maintaining backup copies of your business records is your responsibility.
12. Termination
We may suspend or terminate your account if you violate these Terms. You may delete your account at any time through the app settings. Upon termination:
- Your access to the service will end
- Your data will be deleted within 30 days, subject to legal retention requirements
- Signed documents may be retained to preserve their legal validity
13. Dispute Resolution
Any disputes arising from these Terms or your use of the service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in New York, New York.
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated terms in the app or sending you an email. Continued use of the service after changes constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
